The objectives of this research were to; 1) Study the administration of autonomous universities with good governance in terms of personnel management, budget and property management, and academic administration. 2) Develop the management model of the university with good governance in terms of personnel management, budget and property management and academic administration. This research and development (R&D) had been done by mixed method. The population were 17,728 personnel from 4 years up autonomous universities. The sample of at least 635 persons were obtained by using simple random sampling technique while G*Power Program was used to find sample size. The research operation had 4 steps as; 1) Analyzed need assessment on the administration of the autonomous university with good governance, 2) Developed prototype model, 3) Evaluated prototype model in order to confirm the fitness between models and empirical data, and 4) Improving model. Frequency, Percentage, Arithmetic mean, Standard deviation, and Confirmatory factor analysis were employed to analyse the data. The research results found that: 1) the administration of autonomous university with good governance having three factors as personnel management, budget and property management, and academic administration, each factor having six indicators, 2) The management model of autonomous university with good governance was well fitted with empirical data.
